What it costs to start a Idaho LLC
An Idaho LLC costs $100 to file a Certificate of Organization online with the Idaho Secretary of State (SOSBiz). Paper/mail/in-person filings add a $20 manual processing fee ($120 total). The recurring SOS compliance filing is an annual report at $0 online, due by the end of the anniversary month.
Start with the Idaho SOS Business Forms fee notes for the Certificate of Organization. These are government charges, separate from anything a formation company bills you.
| Expense | Amount | When it applies |
|---|---|---|
| Certificate of Organization (online) | $100 | Required when forming the LLC via SOSBiz |
| Certificate of Organization (paper) | $120 | $100 filing fee + $20 manual processing fee |
| Minimum online formation total | $100 | Excludes optional purchases and operating expenses |
| Annual report (online) | $0 | Each year by end of anniversary month |
| Annual report (paper, by request) | +$20 manual fee | Avoid by filing on SOSBiz |
| Paper expedite / same-day (form language) | +$40 / +$100 | Confirm current options; online is preferred for speed |
| Optional name reservation | $20 base (+$20 manual if paper) | Optional |
Budget example: $100 online formation plus $0 for the first online annual report equals $100 in those core SOS charges—before licenses, insurance, taxes, or professional help. No Idaho franchise tax or SOS minimum entity tax was identified for LLCs.
Confirm paper expedite and same-day add-ons on the current form instructions before paying rush premiums. SOSBiz online already avoids the $20 manual fee.
Choose the services you want with your filing
Starter’s base formation service does not renew. Registered-agent service, an EIN service, an operating agreement and faster preparation are optional purchases.
The preselected website-builder trial renews at $15/month after 30 days; you can remove it at checkout. Optional Worry-Free Compliance is free for the first year and renews at $199/year. Registered-agent service is listed separately at $199/year; first-year promotions may differ.
Review the services and renewal terms in your order. Provider details checked October 14, 2026 against ZenBusiness’s formation plans.
How to start your Idaho LLC
Use your company details to get the formation paperwork prepared and submitted. Here is how the filing service works:
- Enter your business details. Choose Idaho, your company name and the information requested for the filing.
- Review your services and order. Select Starter for the $0 base service fee. ZenBusiness prepares and submits the formation document from your answers.
- Save your approved company records. Once the filing office accepts the paperwork, use the documents to finish your banking and business setup.
Your Idaho filing checklist and required next steps
- Check the name. Search SOSBiz and confirm the name includes Limited Liability Company, Limited Company, or an allowed abbreviation (L.L.C., LLC, L.C., or LC). Optional name reservation is available. Filing acceptance is not a trademark clearance.
- Gather addresses and agent details. Have principal-office street and mailing addresses, registered-agent information, and at least one governor’s name and mailing address ready. Do not enter someone else’s signature without permission.
- Decide who manages the company. Agree on responsibilities before filing. Ask your bank what ownership records it needs for an account.
- File the Certificate of Organization. Prefer SOSBiz online at $100 to avoid the $20 manual fee. Check current processed-through dates on the SOS site; they move.
- Confirm acceptance. Save the filed certificate and receipts. The Secretary of State shall not accept operating agreements for filing (§30-25-201)—keep any OA internally.
Check your proposed name in the Idaho business search.
How long does approval take?
The SOS business forms page notes filings are processed approximately 7–10 days from the date of filing—check current processed-through dates rather than relying on a fixed promise. Online SOSBiz is preferred for speed and to avoid the manual fee. A service’s preparation time is separate from Idaho’s review. ZenBusiness lists standard preparation at 7–10 business days before state processing; state review follows the service’s preparation.
If a lease, financing, or opening date depends on the LLC, leave room for name issues and backlog. Completing an online questionnaire is not the moment the company is approved.
Can I file directly with Idaho?
Yes. You can prepare and submit the filing yourself through the Idaho official LLC filing service. A formation service handles preparation and submission from the information you provide. The government charges and required follow-up steps above still apply.
Choose your Idaho registered agent
Idaho requires registered-agent information under Idaho Code §30-21-404(a). An individual with a physical Idaho street address or an entity authorized in Idaho may serve; a member may serve if they qualify. The SOS FAQ states a registered agent cannot use a P.O. box as the registered office. See the Business Entities FAQ.
Consider whether you can reliably receive legal documents at that Idaho address during business hours. If your work keeps you on job sites or out of state for long stretches, a commercial agent may be more practical. Compare delivery procedures and renewal costs before choosing.
Plan your address use before filing. SOS records are public. Principal-office, mailing, and agent addresses are separate fields. Ask which address fields the agent service covers. Idaho Code also provides a commercial RA address attestation path in limited residence-only situations (§30-25-201)—read the form carefully if that applies.
Idaho LLC annual report: what happens after formation?
The annual report updates or confirms the state’s business record; it is not an income-tax return. Under Idaho Code §30-21-213, file each year before the end of the anniversary month in which the public organic record became effective.
Fee: $0 online via SOSBiz for LLC annual reports. Paper reports are available by request only and incur the general $20 manual processing fee—there is little reason to file paper when online is free.
Example: if the certificate becomes effective in March 2026, calendar the first annual report for March 2027 (before month-end), then every March thereafter. Failure to file can lead to administrative dissolution; reinstate under SOS procedures if that happens. If you buy compliance assistance, verify the report was actually submitted.
Starting near year-end? The anniversary-month clock still starts from the certificate’s effective date. Choose the formation date around real operations, then put the first $0 report on your calendar immediately.

Put your approved LLC to work
- Document how the LLC works. An operating agreement can set ownership, contributions, decision-making, distributions, and exit arrangements. Idaho’s filing office generally does not require you to file the agreement with the formation paperwork—keep it with your company records. For multiple owners, resolve disagreements before money or contracts are committed.Use the basic LLC operating agreement tool as a starting point.
- Get an EIN when needed. Form the entity first, then use the free IRS application if eligible. A paid EIN service handles the application for you. Save the confirmation for banking and tax records.
- Open your business bank account. Ask the bank for its document checklist and establish a bookkeeping process. Use the correct legal business name on applications and contracts; keep any trade-name registrations consistent.
- Complete taxes and operating approvals. LLC formation does not itself select S-corporation taxation or issue a professional license. The IRS explains LLC tax classifications. Identify the state and local requirements for your actual work before opening.
- Check the current BOI rule. As of this review, FinCEN exempts entities created in the United States from beneficial-ownership reporting. A newly created domestic LLC generally falls within that exemption. Consult FinCEN directly for the current rule.

Idaho LLC questions before you start
What is the cheapest way to form an Idaho LLC?
The Certificate of Organization costs $100 when filed online through SOSBiz (paper is $100 plus a $20 manual processing fee, totaling $120). You can file directly or use ZenBusiness Starter, which offers a $0 formation service fee plus the same $100 state fee for the online path.
Is there an Idaho LLC annual report fee?
Online annual reports for Idaho LLCs are $0. The report is due each year before the end of the anniversary month in which the public organic record became effective. Paper annual reports (by request) incur the general $20 manual processing fee.
Can I be my own Idaho registered agent?
Yes, if you provide a physical Idaho street address and meet Idaho Code agent rules. A P.O. box cannot serve as the registered office. The LLC still needs an eligible agent who accepts the appointment.
Does forming an LLC give me an Idaho business license?
Formation creates the entity with the Secretary of State. Licenses, tax accounts, and local approvals for your work are separate; check your industry and location before opening.
Can I get an EIN without buying a service?
Yes. The IRS issues EINs free. Form the LLC first, then check eligibility for the IRS online application or use its alternative application instructions.
This guide is for creating a new Idaho LLC. If you already have an LLC formed in another state, check Idaho’s foreign-entity registration requirements before creating a second company.
